Article 1. NAME

The name of this association shall be: The East Windsor Historical Society, Inc.


The purpose of the society is to discover, procure and preserve what. ever may relate to the civil, ecclesiastical and natural history of the Town of East Windsor in particular and the State of Connecticut in general. Its aim is to collect, preserve and publish historical and biographical material relating to the Town of East Windsor.

Article III. MEMBERSHIP AND DUES Annual dues shall be payable in January each year for the ensuing 12 months at the rate of $10 per individual, $15 per family, or $50 per business member.


The officers of the Society shall be a President, a Vice-President, a Recording Secretary, a Corresponding Secretary, a Treasurer and an Executive Committee to include three members in addition to the aforementioned officers


A nominating committee of five members named by the President shall present a slate of officers to be elected at the annual meeting in May. The officers shall be elected for one year or until their successors are chosen. Officers shall be eligible for re-election. A majority vote of the members present shall elect.


Section 1. The President shall be the chief executive officer of the Society and preside at all meetings of the members. In the absence or during the disability of the President, the Vice-President shall have the authority and duties of the President. In the absence or during the disability of both the President and the Vice-President, the Executive Committee shall designate an individual to act in place of the President.

Section 2. The Recording Secretary shall issue the calls for all meetings of the Society and its committees. S/he shall keep a record of the votes, doings, and proceedings of the Society and the Board of Directors and present them at the regular meetings when called for.

Section 3. The Corresponding Secretary shall conduct the official correspondence in behalf of the Society..The office of Recording Secretary and that of Corresponding Secretary may be filled by the same person.

Section 4. The Treasurer shall be ex-officio a member of the Committee on Finance; shall receive the membership dues and report the names of the persons paying the same to the Recording Secretary; shall receive all other monies due, and all donations or bequests of money made to the Society; shall pay all bills upon authorization of a meeting of the members or upon authorization of the Board of Directors; shall keep a true and faithful account of all monies received and paid by him, and of the property and debts of the Society; and shall, at the annual meeting, render an audited statement thereof.

Section 5. The Board of Directors shall constitute the President, Vice-President, Recording Secretary, Corresponding Secretary and ‘Treasurer as permanent committee chairs and three other members elected at the annual meeting.

Four members shall constitute a quorum for transaction of business.

The Board of Directors shall have the care and management of the property of the Society. They shall have general supervision over the activities of the Society. The various committees shall submit to them for approval matters of gen eral policy and those which may affect the treasury.

The Board of Directors shall have the power to fill vacancies in its membership, or in the other committees for the balance of the Society’s year.


Section 1. The annual meeting shall be held in the month of May at the same time as the regularly scheduled meeting unless otherwise voted by the Board of Directors.

Section 2. There shall be a minimum of five regular meetings of the membership per year. These shall be held in September, October, March, April and May.

Section 3. Special meetings may be called by direction of the President or in his absence or incapacity on the application of three active members to the Recording Secretary.

Section 4 A quorum for the transaction of business at any meeting duly called and notified shall consist of seven members in good standing.


Section 1. The several commit tees specified in this section shall be elected by the Society at the annual meeting to serve for the coming year beginning in September. The members may, at any meeting, elect or authorize the President to appoint such other committees as are deemed necessary.

Section 2. The Membership Committee, of three members, shall consider and report to the Society all applications for membership.

Section 3. The Library Committee, of three members, shall have general oversight of the Library, Museum and all collections belonging to or deposited with the Society and shall record and catalog all materials given or loaned to the Society.

Section 4. The Publication Committee, of three members, shall select and prepare all material to be published by the Society.

Section 5. The Program Committee, of three members, shall arrange for an appropriate program for each regular meeting of the Society.

Section 6. The Auditing Committee, of two members, shall examine the books and records of the Treasurer and the Recording Secretary, and at the annual meeting shall certify to the Society results of such examination.

Section 7. The Acquisition Committee shall approve all gifts to the collections of the Society and make recommendations thereupon.

Section 8. The Board of directors, shall have the general supervision of all funds, securities and investments of the corporation, and shall have such other powers and duties as may be assigned to it from time to time by the general membership.

The Board of Directors by majority vote may empower the treasurer or any other officer of the association to buy, sell, assign and transfer any stocks , bonds, mortgages or other securities which are or maybe held by the association upon such terms as the may deem expedient;and may authorize any assignment, release, bill of sale or other instrument necessary necessary to effectuate such purchase, sale, assignment, conveyance or transaction.


Section 1. All donations to and deposits with the Society shall be entered in books kept for that purpose.

Section 2. All deposits left with the Society shall be carefully preserved and may at any time be taken away by the depositor in person, or delivered on his written order. But every deposit which has not been so reclaimed or with drawn shall, after the decease of the depositor, be entered as a donation, and be deemed the property of the Society; unless at the time of making the deposit, other conditions shall have been prescribed by the depositor..


In the event of dissolution of this Society, all assets will be given to a charitable organization of a literary, educational or scientific nature or to the Town of East Windsor.


These By-Laws may be amended by a two-thirds vote of the voting members in good standing present at any regular meeting of the Society, provided that the proposed amendments shall have been presented in writing at the previous regular meeting of the Society.
